1. Capmatter's own intellectual property
All rights, title, and interest in the Capmatter platform - its software, source code, design, branding, algorithms (including the ownership and dilution calculation engines), and documentation - remain the exclusive property of Capmatter and its licensors. These Terms do not transfer ownership of any of it to you. See our Terms and Conditions for the full intellectual property terms.
2. Your data and content remains yours
You retain all right, title, and interest in the data, records, documents, and content you upload or enter into the platform - your cap table data, uploaded documents, and everything you post, comment, or share on Founder Circle. You grant Capmatter only a limited license to host, process, and display it for the purpose of providing the service to you.
3. Reporting infringing content on Founder Circle
If you believe content posted by another member on Founder Circle - a post, comment, resource, knowledge article, or profile - infringes your copyright or other intellectual property rights, you may report it to us. Please include:
- A description of the copyrighted work or intellectual property you believe is infringed
- The specific content and its location within Founder Circle (a link, or the post/comment/resource title and author)
- Your contact information
- A statement that you have a good-faith belief the use is unauthorized
- A statement, made under penalty of perjury, that the information in your report is accurate and that you are the rights holder or authorized to act on their behalf
Send reports to support@capmatter.comwith the subject line "Copyright Report."
4. Our response
On receiving a complete report, we will review it and, where warranted, remove or restrict access to the reported content and may take action against the account responsible, up to and including suspension for repeat infringement. We will make reasonable efforts to notify the content's author of the removal.
5. Counter-notice
If your content was removed and you believe this was done in error or the material is not infringing, you may submit a counter-notice to support@capmatter.com identifying the removed content and explaining why you believe it should be restored. We will review counter-notices in good faith.
6. Repeat infringers
Accounts found to be repeat infringers may have their content-posting privileges restricted or their account suspended or terminated, consistent with our Acceptable Use Policy.
