Build your company’s operating infrastructure with Capmatter
Capmatter combines software, implementation and enterprise services - so your equity records, hiring and founder network run on one system, set up around how your organization actually works.
Tell us your structure and we’ll come back with a scope. No obligation.
The equity record is usually the last thing anyone owns
It starts in a spreadsheet a founder made, gets amended by a company secretary who has the filings but not the model, and is reconciled properly for the first time during diligence - under time pressure, in front of an investor.
By then the questions are expensive. Which grants actually vested. Whether the pool was topped up before or after the round. Why the register and the board minutes disagree. An enterprise engagement does that reconciliation before it is urgent, and then keeps it from drifting again.
What the platform does today
Everything below is live in the product. Nothing here is on a roadmap.
A single equity record: shareholders, share classes, transfers and issuances, held in an append-only ledger that can be reconstructed at any date.
Model a round, execute it against the ledger, and keep the historical record of every round the company has closed.
Pool management, grants, vesting schedules, cliffs, exercises and lapses - computed from the same ledger as the cap table, not a parallel spreadsheet.
Dilution simulation, valuation modelling and multi-round scenarios, saved and compared in a dedicated workspace rather than re-derived each time.
Statutory obligations derived from your company records, with status tracking. Built around Indian company law rather than retrofitted onto it.
Generated cap-table and equity documents, a versioned registry of what was issued when, and tokened read-only due-diligence rooms that are watermarked and access-logged.
Bring existing records in from spreadsheets or a prior platform, with column mapping, row-level validation, duplicate detection and a reviewable preview before anything commits.
Workspace roles with per-permission grants, invitations, and an audit trail of every change - so finance, founders and your company secretary can share one record.
Evidence-based candidate profiles, explainable matching, referrals and a hiring pipeline - with an accepted offer able to hand off directly into a real ESOP grant.
A private network of verified founders and companies, with circles, a knowledge hub and direct messaging.
A read-only assistant over your own records, with redaction enforced at the boundary - it answers from your data without exporting it.
Row-level isolation per company, an immutable audit trail on equity movements, and a verification pipeline gating who reaches the network at all.
The work we do alongside the software
Scoped to your organization and agreed in writing before anything starts.
We take whatever you have - spreadsheets, a prior platform, a folder of filings - and turn it into a reconciled equity record that agrees with your statutory documents. Reconciliation is usually the long pole, and we tell you what we found before we tell you what it takes to fix.
Workspace and role design for your actual org - founders, finance, company secretary, board observers - plus working sessions with the people who will use it daily. You are handed a system your team can run, not a login.
Compliance calendars, document templates, approval paths and reporting shaped to how your organization already works, rather than asking the organization to reshape itself around defaults.
Getting Capmatter to sit alongside the systems you already run. Scoped per engagement against your stack - we assess what is feasible before committing to it, and say so when something is not.
Ongoing equity operations run alongside your team: grant issuance, vesting maintenance, periodic reconciliation, and preparation ahead of a round, an audit or a diligence process.
Four parts, one account
They share an identity and a company record, so work does not have to be re-keyed between them.
The system of record. Cap table, funding rounds, ESOP, compliance, documents and data rooms, all derived from one append-only ledger.
Where hiring happens. Candidates build a case for themselves once; companies see evidence rather than titles. Free for candidates, always.
A private, verified network. Circles, a knowledge hub, and direct access to other founders working on the same problems.
The layer that makes the other three work for a specific organization: migration, configuration, integration and ongoing support.
A concrete example: a role opened in Talent already knows which company it belongs to, and an accepted offer can hand straight off into a real ESOP grant on that company’s cap table in the Financial OS - rather than being typed in twice and reconciled later.
Before you get in touch
It starts with a call to understand your entity structure, where your records live today, and what is coming up - a round, an audit, an ESOP refresh. We follow with a written scope and timeline. Implementation typically means migrating and reconciling your existing records first, then configuring roles and workflows around your team, then working sessions with the people who will use it.
Integration work is scoped per engagement against your actual stack. We assess what is feasible before committing to it, and we will tell you when something is not. What is available today out of the box is bulk data import with validation, document generation, read-only due-diligence rooms, and workspace roles that let your finance team and company secretary work in the same record.
Implementation is available and is how most organizations start. Software alone does not fix an equity record that was never right - the reconciliation against your filings is the part that takes judgement, and that is work we do with you rather than a feature you configure.
As a written scope with a defined timeline, agreed before anything begins. The shape depends on your structure: a single-entity company with fifteen holders and a multi-entity group with several ESOP schemes need genuinely different engagements. Many organizations begin with migration and clean-up, then move to a standing arrangement once the record is trustworthy.
Because the work is not the same for any two organizations, and a rate card would misprice most of them. Tell us your structure and you get a scoped proposal rather than a number to reverse-engineer.
Get in touch through the contact form with your entity count, roughly how many holders, where your records live today, and what is coming up. That is enough for us to come back with a real scope.
Capmatter Talent is the product-led side and is free for candidates. If you are joining a startup rather than running one, that is where to start - you can build a profile without any company sponsoring you or paying for you.
Security and data-handling detail is on the security page.
