1. Capmatter is not professional advice

Everything Capmatter produces - cap tables, ownership percentages, dilution projections, valuations, ESOP schedules, compliance reminders, generated documents, timelines, insights, and AI responses - is informational output generated from data you enter. None of it is legal, financial, tax, accounting, investment, or valuation advice, and none of it should be treated as a substitute for advice from a qualified professional who knows your specific circumstances.

2. Output depends entirely on your input

Capmatter computes from the figures, dates, share classes, and terms you record. It cannot detect that a shareholding was entered incorrectly, that a round closed on different terms than were captured, or that an off-platform transaction was never recorded at all. An accurate-looking cap table is not evidence of an accurate cap table. You are responsible for the completeness and correctness of the underlying records, and for reconciling them against your executed documents and statutory registers.

3. Generated documents are drafts, not executed instruments

Capmatter can generate documents such as share certificates, transfer deeds, board and shareholder resolutions, ESOP grant letters, and cap-table reports. These are unexecuted drafts produced from templates. Generating one does not:

  • create, transfer, or extinguish any legal or beneficial interest in shares;
  • constitute execution, stamping, or attestation of any instrument;
  • file anything with the Registrar of Companies, the Income Tax Department, or any other authority; or
  • update your statutory registers or minute books.

Corporate actions in India carry their own formalities - board and shareholder approvals, valuation requirements, stamp duty, share certificate issuance, and ROC filings within prescribed timelines. Meeting them is your responsibility, with your own advisors. Templates are drafted generically and may not fit your articles of association, shareholders' agreement, or transaction.

4. Valuation outputs are indicative only

The valuation calculator, dilution simulator, and scenario planner produce indicative modelling based on assumptions you choose. They are decision-support tools for thinking through outcomes - nothing more. They are not a registered valuer's report, a merchant banker's certificate, a fair-market-value determination, or any other statutory valuation. Where Indian law requires a valuation by a registered valuer or merchant banker - for example on certain preferential allotments or for tax purposes on share issuance - you must obtain that separately from an appropriately qualified and registered professional. Capmatter output cannot be submitted in its place.

5. Compliance features are reminders, not assurance

Compliance obligations, due dates, and status indicators are derived automatically from the data in your workspace and from general assumptions about company type and events. They may be incomplete, may not reflect obligations arising from facts Capmatter does not know about, and may not track amendments to law or filing deadlines. A green status in Capmatter is not confirmation that you are compliant, and a missing item is not confirmation that no obligation exists. Statutory compliance remains your responsibility and that of your company secretary or chartered accountant.

6. AI-generated content

Capmatter's AI assistant and automated insights are generated by machine-learning systems. They can be incomplete, out of date, or confidently wrong, and they must not be relied on for any decision without independent verification. AI output is never advice, and no AI feature is a substitute for a professional reviewing your actual records.

7. Sharing data with third parties

Where you use Capmatter to share information - for example a due-diligence room link, an exported report, or an invitation to your workspace - you decide who receives it and what it contains. Verify recipients before sharing, and remember that anyone holding a valid share link can view what that link exposes for as long as it remains active. We are not responsible for the consequences of information you choose to disclose.

8. Jurisdiction and scope

Capmatter is built around Indian private company concepts under the Companies Act, 2013 and related rules. It is not designed for, and should not be relied on for, entities incorporated in other jurisdictions or for entity types it does not model. Law and practice change; features may lag behind those changes.

9. Relationship to our Terms

This disclaimer supplements and forms part of our Terms of Service, including the warranty disclaimers and limitations of liability set out there. Where this page and the Terms address the same subject, the Terms govern.

Important Notice

It is not a law firm, chartered accountancy firm, company secretary, registered valuer, or merchant banker, and using it does not create a professional or advisory relationship. Have a qualified professional review anything before you file it, sign it, or rely on it.
